End User License Agreement

Subject to your compliance with this Agreement, SLVN Media grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your internal business purposes only. This license does not include:

• The right to modify, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software
• The right to distribute, sell, lease, rent, sublicense, or otherwise transfer the Software to any third party
• The right to remove or alter any proprietary notices, labels, or marks on the Software
• The right to use the Software for any purpose other than its intended business use

You shall not:

• Use the Software for any illegal, unauthorized, or prohibited purpose
• Attempt to gain unauthorized access to any systems, networks, or data connected to the Software
• Use any automated means to access, monitor, or interact with the Software (including bots, scrapers, or spiders)
• Circumvent any security features or access restrictions of the Software
• Use the Software in a manner that could damage, disable, overburden, or impair our servers or networks
• Share your login credentials or allow others to access the Software using your account

The Software and all intellectual property rights therein, including copyrights, patents, trademarks, trade secrets, and any other proprietary rights, are and shall remain the exclusive property of SLVN Media and its licensors. This Agreement does not convey to you any ownership interest in the Software, only a limited license to use it in accordance with the terms herein.

SLVN Media may, from time to time, provide updates, patches, bug fixes, or other modifications to the Software. These updates may be installed automatically or require your action. You agree to accept such updates as part of your continued use of the Software. This Agreement shall govern any updates unless such updates are accompanied by a separate license agreement.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SLVN MEDIA DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. USE OF THE SOFTWARE IS AT YOUR SOLE RISK.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SLVN MEDIA, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SOFTWARE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SOFTWARE; (III) ANY CONTENT OBTAINED FROM THE SOFTWARE; OR (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

You agree to defend, indemnify, and hold harmless SLVN Media and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this Agreement or your use of the Software, including but not limited to your User Content or any use of the Software other than as expressly authorized in this Agreement.

This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to this Agreement or the Software shall be instituted exclusively in the federal or state courts located in San Francisco County, California. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

You may not use or otherwise export or re-export the Software except as authorized by United States law and the laws of the jurisdiction in which the Software was obtained. In particular, but without limitation, the Software may not be exported or re-exported (a) into any U.S. embargoed countries or (b) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Person's List or Entity List. By using the Software, you represent and warrant that you are not located in any such country or on any such list.

If any provision of this Agreement is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Agreement will continue in full force and effect.

This Agreement constitutes the entire agreement between you and SLVN Media regarding the Software and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter. No waiver of any provision of this Agreement shall be effective unless in writing and signed by the party against whom the waiver is sought to be enforced.
